Terms of Service

1. Agreement to Terms

By accessing or using the services provided by Flow Consultants ("Company", "we", "our", or "us"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you may not access our services.

2. Description of Services

Flow Consultants provides workflow automation consulting services, including but not limited to:

• Workflow analysis and assessment
• Automation opportunity identification
• Custom software development
• AI and automation integration
• Training and support services
• Consulting and advisory services

3. Engagement Terms

All consulting engagements will be governed by a separate Statement of Work (SOW) or engagement letter that will specify:

• Scope of work and deliverables
• Timeline and milestones
• Fees and payment terms
• Specific terms and conditions for the engagement

In the event of any conflict between these Terms and a specific SOW, the SOW shall prevail for that engagement.

4. Fees and Payment

Fees for our services will be agreed upon in writing before any work commences. Unless otherwise specified in the SOW:

• Invoices are due within 14 days of receipt
• Late payments may incur interest at 2% per month
• All fees are exclusive of VAT unless stated otherwise
• Expenses will be invoiced at cost with prior approval

5. Intellectual Property

Client Materials

You retain all rights to any materials, data, or information you provide to us ("Client Materials"). You grant us a limited license to use Client Materials solely for the purpose of providing our services.

Deliverables

Unless otherwise agreed in writing, upon full payment, you will own all custom deliverables created specifically for you. We retain ownership of any pre-existing tools, methodologies, or frameworks used in providing our services.

Portfolio Rights

We may reference the general nature of work performed (without disclosing confidential information) in our portfolio and marketing materials, unless you request otherwise in writing.

6. Confidentiality

We agree to keep confidential any proprietary or sensitive information you share with us during our engagement. This obligation survives the termination of our relationship. Confidential information does not include information that:

• Is or becomes publicly available through no fault of ours
• Was known to us prior to disclosure
• Is independently developed by us without use of your information
• Is disclosed to us by a third party without restriction

7. Warranties and Disclaimers

We warrant that our services will be performed in a professional and workmanlike manner consistent with industry standards. However:

• We do not guarantee specific results, outcomes, or return on investment
• Our services are provided "as is" without warranties of merchantability or fitness for a particular purpose
• We are not responsible for decisions made based on our recommendations

8. Limitation of Liability

To the maximum extent permitted by law:

• Our total liability for any claims arising from our services shall not exceed the fees paid by you for the specific engagement giving rise to the claim
• We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities

9. Termination

Either party may terminate an engagement:

• With 14 days written notice for convenience
• Immediately if the other party materially breaches these Terms

Upon termination, you shall pay for all services rendered up to the termination date. We will return or destroy any Client Materials as requested.

10. Independent Contractor

Flow Consultants is an independent contractor. Nothing in these Terms creates an employment, partnership, joint venture, or agency relationship between us.

11. Force Majeure

Neither party shall be liable for delays or failures in performance resulting from circumstances beyond their reasonable control, including natural disasters, war, terrorism, strikes, or government actions.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of England and Wales. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.

13. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of significant changes by posting the updated Terms on our website. Your continued use of our services after such changes constitutes acceptance of the new Terms.

14. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.
